These transactions commonly require handling concerning title reviews, section 1030 exchanges, title insurance, surveys, zoning, structure viability and environmental inspections, review of subdivision plats, restrictive covenants, leases, historical and proforma financial statements, recent operating expense, recent/pending litigation, liability insurance, and recent property management. We also prepare employment and severance agreements. Issues about these typically include compensation, equity shares (right to ownership in a business), the scope and obligations of employment duties, covenants of loyalty, non-competition and non-solicitation, confidentiality of proprietary interests and electronic information, grounds and procedure for termination, security interests for future wage/benefit payments and alternative dispute resolution or forum selection.
